2. Description of Service
InsightSwap is a professional networking platform that connects members for the purpose of exchanging feedback, insights, and professional knowledge. Our service facilitates peer-to-peer sessions where members can share expertise and receive valuable feedback.
3. User Accounts
To use InsightSwap, you must:
- Be at least 18 years old
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly notify us of any unauthorized use of your account
- Be responsible for all activities under your account
4. User Conduct
You agree not to:
- Violate any applicable laws or regulations
- Impersonate any person or entity
- Harass, abuse, or harm other users
- Share false or misleading information
- Use the platform for unauthorized commercial purposes
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the platform
5. Intellectual Property
The InsightSwap platform, including its design, features, and content, is owned by us and protected by intellectual property laws. You retain ownership of content you create, but grant us a license to use it for operating the platform.
6. Session Guidelines
When participating in feedback sessions:
- Be punctual and respectful of others' time
- Provide constructive and honest feedback
- Maintain confidentiality of shared information
- Report any inappropriate behavior to our team
7. Confidentiality and Non-Disclosure Agreement
By using InsightSwap, you enter into a binding confidentiality and non-disclosure agreement with all other members regarding information shared during insight sessions.
7.1 Definition of Confidential Information
Confidential Information includes, but is not limited to:
- Business strategies, plans, and ideas discussed during sessions
- Product information, features, and roadmaps
- Financial information and business metrics
- Technical information, code, and proprietary methods
- Customer or client information
- Marketing strategies and competitive analysis
- Personal professional challenges and career information
- Any information marked or identified as confidential
- Any information that a reasonable person would understand to be confidential
7.2 Your Obligations
You agree to:
- Keep all Confidential Information strictly confidential
- Not disclose Confidential Information to any third party without explicit written consent
- Not use Confidential Information for any purpose other than participating in the insight session
- Not use Confidential Information for personal gain or competitive advantage
- Take reasonable precautions to prevent unauthorized disclosure
- Not record, screenshot, or document sessions without explicit consent from all participants
- Immediately notify us if you become aware of any unauthorized disclosure
7.3 Exceptions
These confidentiality obligations do not apply to information that:
- Was publicly known prior to disclosure
- Becomes publicly known through no breach of this agreement
- Was rightfully in your possession before disclosure
- Is independently developed by you without use of Confidential Information
- Is required to be disclosed by law (with prior notice to the disclosing party when possible)
7.4 Duration
Your confidentiality obligations continue indefinitely, even after you stop using InsightSwap or close your account, unless the information falls under one of the exceptions listed above.
7.5 Violations and Remedies
Violations of this confidentiality agreement may result in:
- Immediate suspension or termination of your account
- Legal action to enforce these terms
- Claims for damages, including injunctive relief
- Reporting to relevant professional organizations or authorities
You acknowledge that breach of this confidentiality agreement may cause irreparable harm for which monetary damages may be an inadequate remedy, and that the injured party shall be entitled to seek equitable relief, including injunction and specific performance, without posting bond.
8. Limitation of Liability
InsightSwap is provided "as is" without warranties of any kind. We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Our total liability shall not exceed the amount you paid us in the past 12 months.
9. Termination
We reserve the right to suspend or terminate your account at any time for violations of these terms or for any other reason at our discretion. You may also close your account at any time by contacting us. Your confidentiality obligations under Section 7 will continue after termination.
10. Changes to Terms
We may update these terms from time to time. We will notify you of significant changes via email or through the platform. Continued use after changes constitutes acceptance of the new terms.
